

Stockland Direct Retail Trust No.1
The Stockland Direct Retail Trust No.1 (the Trust) is a new unlisted property trust which has been established by the Stockland Funds Management Limited (the "Responsible Entity" or "Issuer").
The Trust provides investors with an opportunity to access retail properties, managed by Stockland, in an unlisted property trust.
Stockland is one of Australia's leading diversified property groups with expertise in the management, marketing and leasing of shopping centres. Stockland currently owns and manages a portfolio of 41 shopping centres which has a book value of approximately $3.6bn as at 30 June 2006

Eligibility
The offer of Units in the Trust is open to Australian residents. Foreign residents may apply for Units but will be subject to restrictions as set out in the PDS (and must indicate that that they are foreign residents in the Application Form accompanying the PDS).
How to apply
Investors should obtain and consider the Product Disclosure Statement ("PDS") for the offer (available as indicated below from 16 October 2006) in deciding whether the investment is appropriate for them and whether to acquire or hold Units in the Trust.
Applications for Units may only be made by completing and returning the Application Form attached to, or accompanying, the PDS. Detailed instructions on how to complete the Application Form are set out in the PDS. The Application Form must be accompanied by the payment of $1.00 per Unit. Payment must be in Australian currency and made by cheque.

2. The forecast period is from Allotment until 30 June 2008.
3. Applications received before the Applications Open Date will not be processed until after the Applications Open Date.
4. The issuer, Stockland Funds Management Limited ABN 86 078 081 722, in consultation with National Australia Bank Limited, has the absolute discretion to extend or reduce the offer period.

NAB may act if necessary to protect its interests ahead of those of investors and other parties. In acting in its various capacities, NAB will only have the duties and responsibilities expressly agreed by it in the relevant capacity and will not, by virtue of acting in any other capacity, be deemed to hold any differing standard of care.
